Upgrading gear increases its base stats, and sometimes increases its other features. The value of these upgrade is determined by the levels of gear, their requirements, and how many random augmentations are made available.

Reroll Tokens

Certain items benefit from upgrading less for their increased stats and more because it lets players get the most value from a flawless roll on the item. A perfectly rolled 200/6500 armor set piece, for instance is highly coveted by melee PvP communities and could be worth as much as 20-50 times the value of an unupp'd counterpart.
When you choose an upgrade component to slot into an item the game will display a pop-up window that shows the necessary requirements. The game will display the required requirements when you select an upgrade component to slot into an item.
